Job description

A prestigious international law firm, consistently recognised as a market leader in global finance, is seeking a highly skilled and motivated U.S.-qualified solicitor to join its dynamic and expanding London-based Capital Markets team.


Responsibilities


  • Leading on high-yield debt offerings and other complex DCM transactions, including advising on Rule 144A and Regulation S offerings.
  • Drafting and negotiating a broad range of transaction documents, including prospectuses, indentures, comfort letters, and legal opinions.
  • Managing deal processes from inception to completion, coordinating with clients, underwriters, and other legal counsel across multiple jurisdictions.
  • Providing expert legal advice to clients on corporate finance, U.S. Securities laws (including the Securities Act of 1933 and the Securities Exchange Act of 1934), and regulatory compliance matters.
  • Mentoring junior colleagues and contributing to the firm's knowledge management initiatives.


Qualifications


  • U.S.-qualified solicitor (active membership in the New York or California Bar is strongly preferred).
  • Experience being sought – junior to mid-level (ideally 2 to 5 years Post-Qualified Experience (PQE)).
  • Demonstrable, significant, and direct experience advising on U.S. High Yield Debt offerings and broader Debt Capital Markets transactions from a Magic Circle, Silver Circle, or top-tier international firm.
  • Exceptional academic credentials and a strong foundation in U.S. Securities law and corporate law.
  • Excellent communication, drafting, and interpersonal skills, with the ability to thrive in a fast-paced, high-pressure, and client-facing environment.
