Senior Associate – Transaction Management, Structured Finance 

We are currently seeking an experienced individual to join this team in the role of a Senior Associate, based within Transaction Management, Structured Finance.

The role of a Senior Associate within Transaction Management is to lead on all aspects of the documentation process for complex corporate loan transactions across Large Corporate, MME and REF segments, typically in the £10m – £750m space. From the early stage documentation (such as term sheets) through to the negotiation of key finance documents (such as facility agreements), a Senior Associate is tasked with working closely with UK CMB clients, CMBO, coverage teams, external lender counsel and other key stakeholders across CMB ensuring the successful completion of the relevant transaction within the requisite deadline.

Your responsibilities will include:

  • Leading all aspects of loan execution (bilateral or multi-banked loans) including advising on the structure of a transaction, explaining common risks (both commercial and legal) associated with complex loan transactions.
  • Supporting and advising UK CMB clients, CMBO, coverage teams and other key stakeholders by interpreting legal advice/concepts and explaining impact and associated risks.
  • Negotiating and agreeing the terms of the LMA facility agreement, ensuring compliance with HSBC’S internal policy, relevant credit approvals, common market practices in line with any external regulatory requirements.
  • With the support of CMBO, the wider coverage teams and other key stakeholders, you will lead all parties calls on legal and policy points on other commercial issues. 
Requirements

To be successful in this role you should meet the following requirements:

  • A genuine interest in the loans market
  • Strong knowledge of Loan products, including cash-flow lending (corporate or leveraged), M&A and post-IPO financing 
  • Experience working in relevant environments/markets, e.g. Syndicated Loans Market, Debt/Structured Finance
  • Excellent written and spoken communication skills with experience of successfully influencing others, negotiating effectively.
  • Experience of building and managing complex relationships.
  • Willingness to undertake the training/study required in this role, i.e. if not currently a Certified Person, the selected candidate must achieve Certified Person Competency within two years of joining the team
  • Willingness to undertake internal and/or external training/study to for personal and professional development and to bolster the skill set that will be developed while in this role, including documentation training

The base location for this role is Queen Victoria Street, London.
