Assistant Company Secretary


Maternity contract

Southampton

Hybrid


Role responsibilities:

  • Supporting the Company Secretary by attending meetings
  • Drafting and/or reviewing minutes and following up on key action points
  • Providing timely governance advice when required
  • Statutory compliance – responsible for ensuring the maintenance of statutory records and registers for entities
  • Ensuring the timely submission of statutory filings including to Companies House and anywhere else required
  • Assisting in the production and approval of the Annual Report and Accounts
  • Maintain the annual governance and compliance calendar.
  • Assisting and advising the Chair, Chief Executive and the Executive Team on company secretarial-related matters.
  • Supporting key Company Secretary projects such as a Governance Review and external board evaluation
  • Assisting with the Annual General Meeting (AGM) and the delivery of charity and subsidiary company meetings and associated procedural requirements in line with good governance.
  • Assisting in the maintenance of governing documents recommending changes as necessary to reflect changing strategic, legal and best practice requirements.


Role requirements:

  • Able to start a new role before the start of August 2025
  • Qualified Company Secretary (desirable)
  • 2+ years of experience in a governance or company secretarial role
