A global Fund Manager is expanding its remit and recruiting a junior legal counsel to join the team in a corporate capacity and assist with transactions.

Suited to some in a corporate team at a London law firm from NQ-2PQE. This position will be to assist and manage various day to day aspects of the legal team’s responsibilities and to provide legal support to the origination team on transactions

Role responsibilities:

• To be a key member of the legal team for handling legal work on transactions, such as engagement letters, NDAs, KYC, corporate authorisations, FDI/competition filings
• To instruct and oversee the external consultancy support that provides day-to-day company secretarial services (board minutes, director appointments and resignations, share allotments, company dissolutions, maintaining PSC registers and routine Companies House filings)
• To ensure best practice in corporate governance, including recording investment approvals and board reporting on legal matters, maintaining conflicts registers and directorships lists
• To oversee legal documentation by managing external law firms as required on more complex matters
• To support the legal team on legal and regulatory analysis, including new legal developments which may affect the business
• To liaise in a proactive, problem solving manner with all areas of the business on legal matters

Experience required:

• Qualified solicitor in England & Wales or equivalent jurisdiction.
• Infrastructure experience desirable
• Excellent academic background
• Self-starter with excellent presentation skills, in particular written
• Judgement to balance commercial and legal risks to achieve proportionate outcomes
