Job description

A global investment bank is looking to hire an Interim Trade/Cash Management Lawyer for a 6-month contract.


The client is looking for a mid level lawyer with a background in cash/treasury management and trade finance experience. The position will sit within the clients Global Payments Solutions team in London. The clients clients is made of corporates, financial institutions, and non-bank financial institutions. The work is varied, typically including assisting on live transactions, negotiating contracts and working within the product group in developing and expanding client products.


This is an ASAP hire with the expected start date being early July. 3 days in office.


Role overview:


Responsibilities:

Cash/Treasury Management

Responsibilities would include supporting the clients cash and treasury management business, including existing and new product initiatives, offerings and services, regulatory issues arising out of the provision of global/pan-European payment and treasury services; related credit support documentation e.g. Parental guarantees. Responsibilities include:

  • advising on client negotiations of standard global and local client contracts, including account and electronic services documentation and liquidity contracts, including notional account netting, physical cash concentration (sweeping) and interest optimisation arrangements;
  • reviewing, updating and drafting relevant contractual documentation;
  • dealing with queries from the business, including Product, Contract Management, Treasury Sales Officers, Fulfilment (including client services) and Operations on a range of product, client, payment and operational related issues;
  • new product initiatives and related legal and regulatory due diligence.

Trade Finance

Responsibilities include advising in respect of complex multi-jurisdictional trade finance transactions (e.g. Supply chain finance, receivables financing and structured trade facilities), client negotiations, managing multi-jurisdictional due diligence reviews in relation to geographical product expansion and transactions and preparing GTS template contractual/transactional documentation for trade finance transactions, including in relation to:

  1. Supply chain finance
  2. Receivables finance
  3. Export credit agency backed syndicated facilities
  4. Traditional bilateral trade facilities
  5. Bank guarantee issuances
  6. Promissory note discounting
  7. Bills/Drafts Discounting
  8. Commercial letter of credits imports
  9. Commercial letter of credits exports
  10. Standby Letters of Credits
  11. Documentary Collections Import
  12. Documentary Collections Export
  13. Guarantees
  14. Cash collateral arrangements
  15. Purchase Order Processing
  16. Bank to Bank Reimbursements
  17. Export Bills Collection
  18. Open Account

General

Common to cash/treasury management and trade finance, responsibilities would also include:

  • working closely with other internal lawyers, including regulatory and credit lawyers, compliance and other partners;
  • reviewing and advising on publications and other communications for internal and external use;
  • engaging and managing outside counsel, as necessary;
  • providing support as needed to address and manage disputes and litigation matters and related risks, and liaising with the litigation group;
  • acting as strategic partner to the business;
  • providing general legal support to the business, including the procurement of appropriate regulatory advice;
  • supporting business project initiatives;
  • sharing know-how with other members of the EMEA legal team;
  • providing sophisticated and practical advice to the business.
