Job description

Role Overview

We are recruiting a Legal and Commercial Advisor to support the legal, contractual, and commercial risk management of transmission and distribution (T&D) infrastructure projects being developed across Sub-Saharan Africa under an Independent Transmission Producer (ITP) structure. These projects are development-funded by multilaterals and DFIs, and involve complex stakeholder partnerships, including sovereign entities, utilities, regulators, and private investors.

As part of the Developer's team, you will be responsible for end-to-end legal structuring and documentation, ensuring that all contractual frameworks are bankable, compliant, and aligned with funder, host government, and project sponsor expectations. This role sits at the intersection of infrastructure law, project finance, regulatory compliance, and public-private partnerships and as such requires previous transaction support across the legal gambit of infrastructure projects within Africa.


You will be responsible for drafting, negotiating and managing key legal agreements (Implementation Agreements, Concession Agreements, Transmission Service Agreements, Shareholder Agreements, Joint Development Agreements, EPC and O&M agreements) and facility documentation, guarantees and other ancillary documents; providing legal advisory on compliance and regulatory issues; commercial structuring and risk allocation; funder and transaction support, governance, compliance and stakeholder engagement.


Candidate Profile

Qualifications

  • LLB or equivalent legal degree; LLM or MBA a strong plus.
  • Admitted to practice in a common law or civil law jurisdiction applicable in Africa.
  • Minimum 5 years post-qualification experience with at least 3 years focused on:
  • Infrastructure project development or finance
  • Energy, transmission, or public-private partnership contracts
  • Development-funded or multilateral-financed projects

Technical Expertise

  • Proven experience structuring and negotiating:
  • PPP / Concession Agreements,
  • Development and Joint Venture Agreements
  • DFI or blended finance term sheets and legal instruments
  • Familiarity with multilateral funders’ procurement and legal frameworks, including the World Bank, AfDB, and GCF.
  • Understanding of power market regulations, wheeling charges, and interconnection procedures.
