DESCRIPTION OF COMPANY

Global Holdings Management Group is an international alliance of real estate asset management and investment advisory companies operating across the United States, United Kingdom, and Europe. The firm exclusively develops, advises, and manages the real estate assets of Global Holdings Group across its residential, commercial and hotel portfolios in these geographies. The current portfolio consists of over 10 million square feet of real estate, comprising over 100 properties and 2,500 hotel rooms. The group manages some of the most exciting real estate development projects in the world, creating extraordinary properties for tenants, customers, and guests alike.


SUMMARY DESCRIPTION OF POSITION

The Junior Layer provides direct support to the General Counsel providing high-level support and assistance to the General Counsel as well as interacting and providing guidance and support to various stakeholders within the organisation within both the commercial and hotel / hospitality sectors of the organisation.

REPORTING RELATIONSHIP

The role will report directly to the General Counsel. This is an position based within the group’s head office in London.


ROLE AND RESPONSIBILITIES

  • Commercial Contracts: Independently reviewing, drafting and negotiating simple and complex commercial contracts with suppliers and consultants of all kinds, particularly on the hotel side of the business, including food & beverage, events and IT suppliers.
  • Development: Managing certain legal aspects of real estate development projects, including negotiating consultant appointments, contracts and reliance letters, and liaising with external lawyers as well as the internal Global Holdings development team.
  • Financing: Project management of legal documentation for financing deals, liaising with external lawyers and the internal Global Holdings teams to provide information required by the lender and ensuring compliance with conditions precedent and subsequent.
  • Investment: Project management of the legal due diligence process and documentation for the acquisition and disposal of real estate assets.
  • Litigation: Working with external lawyers, project managing legal proceedings and claims.
  • Intellectual Property: Keeping up to date the intellectual property schedule for both the office and hotel sides of the business. Looking out for and assessing any IP protection shortfalls in the portfolio.
  • Legal Research: Conducting legal and market research to support strategic decision-making.
  • Drafting: Drafting and liaising with the relevant internal Global Holdings teams on intra-group agreements, letters of instruction, termination notices and bespoke legal documents.
  • Reporting: Synthesizing long and/or complex legal reports and contracts and identifying key points for discussion with the General Counsel and Global Holdings internal teams, highlighting the key points and risks.
  • External Lawyers: With the General Counsel, working and liaising with external lawyers as necessary; and instructing them, obtaining fee estimates and managing the relevant transaction as necessary.
  • NDAs: Reviewing and negotiating NDAs.
  • Document Management: Keeping SharePoint up to date with legal and other relevant documentation; and diarising key dates to ensure that important deadlines are not missed.
  • Legal Compliance: Staying up to date with legal and market changes to assist the General Counsel with compliance with laws and regulations relevant to both the office and hotel sides of the business.
  • Support to General Counsel: Providing high-level support and assistance to the General Counsel as required.
  • Carrying out any other duties that may be reasonably requested by the line manager.

It is imperative that the individual upholds the philosophy, culture, and values of the Group.


Experience / Qualifications

  • Legal - Fully qualified lawyer with at least 4 years’ post-qualification experience in private practice or in-house.
  • Relevant professional qualifications for location role is based. - UK
  • Sector - Ideally some experience in the real estate sector.

  • Desire, ability and agility to cover many different areas of law, even if outside of legal area of expertise.
  • Proficient user of IT.
  • Capable of working independently but also collaboratively within cross-functional teams.
  • Very discrete and trustworthy with sensitive and confidential information.
