Legal Counsel – London
The Role
A global private markets advisory firm is seeking a Legal Counsel to join its London-based legal team. The role will support the firm’s primary, secondary, and GP capital advisory teams, reporting directly to the UK-based Senior Legal Counsel and General Counsel. This position has arisen due to the company’s continued international expansion and the increasing number and complexity of client mandates worldwide.
Key Responsibilities
Legal Advice & Project Management – Primary, Secondary & GPCA Mandates; Internal Functions
- Support business teams across fundraising and secondary mandates.
- Collaborate with colleagues in the UK and US on client matters, including engagement letters, marketing documentation, and disclaimers.
- Draft, review, and negotiate NDAs for mandates.
- Research and prepare international marketing plans in coordination with fund and transaction counsel.
- Ensure professional investor tests remain up to date and compliant, working closely with the compliance team on sampling and audits.
- Maintain and update internal tracking systems for marketing rules.
- Assist with preparing and negotiating engagement letters and monitoring their terms.
- Contribute to maintaining internal knowledge banks and legal surveys.
- Undertake project-related tasks such as developing legal issue lists and compliance checklists.
- Support business development initiatives, including networking with private practice fund lawyers.
- Provide assistance with the firm’s internal investment vehicle and related investments.
- Prepare documents and training materials on best practices and regulatory matters.
- Participate in pre-mandate processes, pitches, and compliance checks.
- Offer general legal support to business units, including reviewing supplier and third-party contracts.

Candidate Profile
- 2–6 years of post-qualification experience in private funds-related work (in-house or private practice).
- Strong results orientation with a client delivery focus.
- Exceptional attention to detail and accuracy.
- Excellent communication, relationship management, and interpersonal skills.
- Integrity, team spirit, and a collaborative approach.
- Positive, proactive mindset with eagerness to learn and engage deeply in the business.
