IT Carve-Out Due Diligence Lead – Infrastructure Focus

Location: Remote

Duration: 6 weeks (starting next week) – will probably extend to Carveout delivery

We are supporting a carve-out diligence project for a services business being acquired. Planning.

Role Overview:

We’re seeking a seasoned IT Due Diligence Lead with deep experience in large-scale carve-outs, ideally within infrastructure sector. You’ll take a leadership role in a fast-paced diligence process, assessing the IT landscape and identifying separation risks and value creation opportunities.

Key Responsibilities:

• Lead IT due diligence for a complex carve-out transaction
• Assess IT organisation, governance, and delivery capability
• Review business applications (front & back office), licensing, and IP arrangements
• Analyse IT infrastructure, support services, and vendor landscape
• Evaluate customer/supplier system integration and data entanglement
• Identify standalone IT architecture adjustments and TOM optimisation
• Assess one-off and ongoing IT costs
• Highlight key IT separation risks and mitigation strategies

Ideal Profile:

• Proven track record in IT due diligence and carve-out projects
• Strong understanding of infrastructure services and operational IT
• Ability to work independently and drive outcomes in a remote setting
• Strategic thinker with hands-on delivery capability
