Job description

Bizcap, a commercial financing provider, is seeking a full-time Associate General Counsel to join our London team. In this role, you will play a key part in handling lending transactions and assisting with corporate, contract matters, and general corporate governance matters. You will also support matters involving restructuring and insolvency scenarios, provide guidance on corporate finance initiatives, and assist with our general recovery matters. This position is based on-site in London. Key Responsibilities:

 

  • Negotiate, draft, review, and enforce commercial lending, vendor, referral partner, investor, and corporate finance-related contracts.
  • Provide legal support on restructuring, insolvency, and workout matters involving borrowers, counterparties, or financing partners.
  • Monitor and assist with corporate governance matters.
  • Stay up-to-date on relevant legal developments, including fintech, financial services, insolvency law, and corporate finance regulations; communicate implications to leadership; and assist with compliance implementation and monitoring.
  • Provide legal counsel and guidance to various business units within the company, helping identify and mitigate legal and transactional risks.
  • Collaborate with external counsel as necessary, including restructuring and corporate finance specialists, and manage outside legal relationships effectively.

 

Qualifications:

  • Qualified Solicitor/Barrister entitled to practice in England and Wales.
  • 5+ years (preferably in-house) of experience in commercial lending and/or restructuring and insolvency matters. This is a critical requirement.  
  • Experience or familiarity with corporate finance transactions, capital raising structures, and related regulatory considerations.
  • Strong knowledge of insolvency and lending/corporate finance law.
  • Excellent legal analysis, drafting, and communication skills.
  • Proven ability to manage large and complex workloads.
  • Commercial awareness and the ability to deliver pragmatic, solutions-focused advice.
  • Exceptional written and verbal communication skills.
  • Ability to work independently, manage multiple tasks, and meet deadlines.
  • Team player with excellent interpersonal skills.
