Associate, Fund Finance - Leading Global Law Firm (5-7 PQE)

Job description

Our client is a leading international law firm with a highly regarded Fund Finance practice advising lenders and sponsors on complex fund-level and asset-backed financing arrangements. The team is known for handling sophisticated, often first-of-their-kind transactions across the full range of private capital strategies and for delivering practical, commercial solutions in fast-moving environments.

The practice works with a broad mix of banks, alternative lenders, fund managers and private equity sponsors, supporting transactions from initial structuring through execution and ongoing lifecycle advice.

The Role

The successful candidate will join a specialist fund finance team advising on a wide variety of financing products linked to private investment funds and their underlying assets. The role offers exposure to both lender-side and borrower-side work, as well as the opportunity to work on innovative structures across multiple asset classes.

You will be involved in transactions spanning subscription facilities, NAV-based financings and hybrid structures, as well as private credit, leveraged and acquisition finance mandates connected to fund platforms.

Key Responsibilities

• Advising on fund-level financing arrangements, including capital call facilities, NAV and hybrid facilities, GP support lines and related structures
• Acting for lenders, sponsors and fund managers across the capital structure
• Structuring and negotiating bilateral and syndicated financing arrangements
• Drafting and negotiating credit documentation, security packages and intercreditor arrangements
• Supporting clients throughout the full lifecycle of a financing, from origination to amendments and refinancings
• Working closely with colleagues across finance, regulatory and tax teams on complex, cross-disciplinary matters

Client Base and Work Exposure

The team advises a diverse group of market participants, including:

• Domestic and international banks
• Non-bank and alternative credit providers
• Private equity and credit sponsors
• Fund managers, general partners and investment vehicles
• Secondaries participants and institutional investors

The practice supports a wide range of fund strategies, including private equity, private credit, hedge funds, real estate, venture capital, infrastructure, energy, distressed and special situations funds.

What Our Client Is Looking For

• E&W Qualified, 5-7 PQE
• Strong experience or demonstrable interest in fund finance, private credit or structured finance
• Confidence working on complex financing documentation and negotiations
• Commercial awareness and the ability to tailor advice to different stakeholder priorities
• Comfortable operating in a fast-paced, deal-driven environment
• Collaborative mindset and interest in building long-term client relationship
