Our client a long‑established, market‑leading investment firm with a global footprint across private equity, credit, and real estate is looking for a Fund Counsel to join its elite legal team in London.

⭐ The Opportunity

Reporting directly to the Chief Legal Officer, you’ll become a key architect behind the firm’s flagship and strategic fund offerings. This is a role for someone who wants full visibility, full responsibility, and the chance to partner with senior leadership, Investor Relations, Tax, and Finance to shape fund structures across global jurisdictions.


You’ll influence strategy, drive innovation in fund design, and play a central role in all fundraising activity; all within a collaborative, high‑performance culture.


What You’ll Be Doing


Fund Formation & Structuring

You will:

✔ Lead the structuring and establishment of the firm’s private funds across multiple strategies

✔ Build and refine fund frameworks spanning the UK, Luxembourg, Delaware and more

✔ Draft, negotiate, and oversee key fund documentation (LPAs, PPMs, subs, constitutional docs)

✔ Advise on all fund economics and mechanics — from carry and fees to liquidity and investment restrictions

✔ Run and manage fund closings, amendments, and ongoing lifecycle support

✔ Manage and coordinate external counsel across jurisdictions

✔ Continuously improve templates, processes, and documentation standards

Fundraising & Investor Relations

✔ Act as the main legal point of contact for LPs during fundraising

✔ Lead on side letter negotiations and MFN processes

✔ Support the IR team with regulatory and disclosure requirements

✔ Handle re‑ups, investor queries, and closing logistics


What You Bring

A UK‑qualified solicitor with 4–8 years PQE

Strong fund formation experience from a leading international law firm

Expertise across private equity, credit, or alternative fund structures

Knowledgeable on key regulatory regimes (FCA, SEC, AIFMD, MiFID II)

A superb drafter, negotiator, and communicator

Excellent drafting, negotiation, and communication capability

Resilient, agile, and comfortable operating in a high‑performance environment

Commercial, solutions‑driven, and confident influencing senior stakeholders

Collaborative, relationship‑driven, and able to thrive in a dynamic environment


This is a London‑based hybrid role with international travel
