Job Title: Paralegal – M&A / Private Equity
Location: London
Contract Type: 12-month fixed term (potential for extension)
Minimum 1 yr M&A/Private Equity experience required - you will be rejected if you do not meet this requirement
About the Role:
We are seeking a proactive and detail-oriented Paralegal to join our growing M&A and Private Equity department in London. This role offers exposure to complex corporate transactions within a dynamic City law firm environment. The ideal candidate will have prior experience in corporate M&A and/or Private Equity and be eager to contribute to all aspects of deal execution.
Key Responsibilities:
- Draft, review, and organize transaction documents, including NDAs, SPAs, disclosure schedules, SHAs, management incentive plans, corporate approvals, and ancillary agreements.
- Coordinate deal execution, managing signing/closing checklists, collating signature pages, and preparing closing sets/bibles.
- Manage due diligence processes, including collecting documents, maintaining trackers, liaising with internal teams and foreign counsel, and summarizing key findings.
- Maintain and update transaction trackers, cap tables, data rooms, and other client/internal workflow tools.
- Assist with Companies House filings and verify corporate and financial records.
- Liaise directly with clients, counsel, counterparties, and internal deal teams to ensure smooth information flow.
- Conduct legal and market research to support Associates on transaction-related matters.
- Provide general administrative support, including proofreading documents, preparing filings, and managing deal correspondence.
Qualifications and Experience:
- Three A-levels at grades AAB or above (or equivalent).
- University degree at grade 2:1 or above (or equivalent).
- Previous experience in M&A and/or Private Equity within a City law firm.
Skills and Attributes:
- Strong IT skills: Microsoft Word, Excel, PowerPoint, PDF software, email, and online research tools; willingness to learn new software applications.
- Ability and willingness to work overtime or weekends if required.
- Enthusiasm for tackling new legal areas and unfamiliar tasks.
- Strong organizational skills and ability to work independently.
- High attention to detail and ability to manage high volumes of correspondence.
- Excellent verbal and written communication skills.
- Team player with the ability to assist co-workers effectively.
- Willingness to undertake both administrative and complex legal tasks.
- Strong analytical and problem-solving skills; able to gather information and propose solutions.
- Calm under pressure and able to prioritize effectively.
- Produces clear, concise, and thorough written work.
- Perceptive and proactive in understanding the wider context of work and identifying new issues or opportunities.
