Associate - Incentives Lawyer

Job description

A leading international firm is seeking a 4–6 PQE Associate to join its highly regarded Incentives team in London.

This is a strategic hire into a market-leading practice advising listed companies, private equity houses and senior management teams on complex remuneration and equity arrangements.

The team is led by partners who:

• Advise on the full lifecycle of executive incentive structures, from design through to implementation
• Support major UK and cross-border M&A transactions with management equity and rollover arrangements
• Act for boards and remuneration committees on governance-sensitive remuneration matters
• Work closely with Private Equity and Corporate teams on sponsor-backed deals
• Are recognised for technically sophisticated advice on equity, LTIPs, carried interest and incentive planning

The Role

You will advise on:

• Executive equity arrangements, LTIPs and share plans
• Management incentive packages on PE-backed transactions
• Carried interest and co-invest structures
• Executive hires and exits involving equity and deferred remuneration
• Remuneration governance and disclosure considerations

The role offers a genuine blend of standalone incentives advisory and transactional deal support, working closely with Corporate, Tax and Employment colleagues.

About You

• 4–6 PQE UK-qualified solicitor
• Strong background in incentives / executive remuneration
• Experience advising on management equity within M&A or PE transactions
• Commercially minded with strong drafting capability
• Comfortable engaging with senior executives and boards
