Overview An exciting opportunity to join the in-house Legal team of one of the fastest growing companies in the insurance sector. The successful candidate will provide support to the Legal team across a wide range of areas, including corporate governance, corporate transactions and commercial contracts, with a particular focus on cross-border transactional and international governance matters. This is an ideal opportunity for a junior lawyer to obtain broad exposure and develop their skillset in a dynamic and internationally-focused business.Core Duties and Responsibilities Provide comprehensive legal support for strategic, cross-functional projects, working closely with Compliance, Finance and other teams across the transaction lifecycle.Assist with transactional due diligence exercises and support the drafting and negotiation of complex legal documentation from early-stage transaction structuring to completion, across a range of different corporate and other transactions.Provide wide-ranging assistance on corporate governance matters (across a number of different jurisdictions), including but not limited to maintaining corporate records, entity management databases, and other legal systems; drafting agendas, Board and shareholder resolutions and other relevant corporate documentation; and managing statutory and other filings.Work with and manage external counsel and external corporate services providers across a range of jurisdictions, ensuring external advice and support is commercial, timely, and cost-effective.Support the drafting and negotiation of a wide range of commercial contracts, including services agreements with suppliers, intra-group agreements and insurance-related agreements.Assist with the legal team's knowledge management and process improvement initiatives.Qualifications, Skills and Experience Solicitor qualified in England & Wales (or equivalent), from NQ to 2 years' PQE with a demonstrable interest in company law and governance. Insurance or broader financial services experience is desirable but not essential .Prior experience supporting corporate transactions and corporate governance matters in private practice and/or in-house legal environments.Familiarity with entity and board management systems desirable.Ability to effectively manage workload, to plan and prioritise accordingly, and to meet tight deadlines, whilst maintaining a high level of accuracy, attention to detail and professionalism.Strong sense of urgency, personal responsibility, initiative, and self-motivation.Strong written and verbal communication skills as well as the ability to interact with individuals on all levels.Flexible, proactive, and comfortable working in a dynamic and fast-paced environment.Willingness to work outside of core hours when required to meet business needs.High proficiency in Microsoft Office (particularly Word and Excel) and Adobe Acrobat.
