Legal Counsel – Banking & Finance (Interim)

London | Immediate Start

An exciting opportunity has arisen for an experienced Banking and Finance Lawyer to join the legal team of a fast-growing international energy business on an initial three-month contract, with the potential for extension.

Working as part of a collaborative in-house legal team, you will provide specialist legal support across a broad range of financing matters. You will work closely with treasury, finance, commercial and senior business stakeholders on strategically important domestic and cross-border transactions.

The Role

Key responsibilities are likely to include:

  • Advising on a broad range of banking and finance matters, including corporate lending, acquisition and project finance, structured finance, refinancing and hedging arrangements.
  • Reviewing, drafting and negotiating finance documentation, including facility agreements, loan agreements, guarantees, security documents, intercreditor arrangements, fee letters and conditions precedent.
  • Advising on derivatives and hedging transactions, including the review and negotiation of ISDA documentation and related confirmations.
  • Supporting the business on amendments, waivers, refinancings, restructurings and other changes to existing financing arrangements.
  • Advising treasury and finance teams on financing structures, security packages, covenant compliance, risk allocation and transaction execution.
  • Managing legal workstreams and coordinating with lenders, financial institutions, external counsel and other transaction parties.
  • Providing pragmatic and commercially focused advice to senior stakeholders on complex banking and finance issues.
  • Supporting wider finance-related legal matters across the business where required.

About You

To be successful, you will ideally have:

  • Approximately 3–7 years’ PQE gained within a leading banking and finance practice and/or an in-house legal team.
  • Strong experience of banking and finance transactions, including drafting and negotiating facility agreements and associated security documentation.
  • Experience in one or more of corporate lending, leveraged finance, project finance, structured finance or derivatives.
  • A sound understanding of financing structures, lender requirements and transaction processes.
  • Excellent drafting, negotiation and stakeholder-management skills.
  • A pragmatic, commercial approach and the confidence to advise senior stakeholders directly.
  • The ability to manage matters autonomously and work effectively in a fast-paced, transaction-driven environment.
