Company Secretary - Global Payments Company

The Stephen James Partnership is looking for a Company Secretary - Global Payments Company

Job description

Ready to step into a senior Company Secretariat role where you'll influence governance at the highest level?

We're partnering with a global blue-chip organisation to appoint an experienced Company Secretary to join its high-performing Corporate Governance team.

This is far more than a traditional CoSec role. You'll be at the heart of the business, partnering with senior leaders and collaborating with Legal, Compliance, Risk, Finance, Treasury and Tax on some of the organisation's most strategic initiatives. From corporate governance and entity management to M&A, restructurings and complex global projects, you'll play a pivotal role in shaping the governance agenda across an international group.

We're looking for someone who enjoys combining strategic thinking with a hands-on approach—someone who isn't afraid to roll up their sleeves, challenge the status quo and drive governance best practice.

Responsibilities

  • Acting as the senior company secretarial point of contact for a portfolio of entities within a large corporate group
  • Providing expert governance support and advice to senior stakeholders, including Boards and Committees
  • Leading on corporate secretarial workstreams for reorganisations, rationalisations, M&A and other significant corporate projects
  • Partnering closely with Legal, Compliance, Risk, Audit, Treasury, Tax, Finance and Corporate Affairs functions
  • Ensuring the highest standards of corporate governance and statutory compliance across the group
  • Bringing a solution-minded approach to complex governance challenges, and being willing to work at both strategic and operational levels

Qualifications

  • Chartered Company Secretary
  • Minimum of 12 years' post-qualified corporate secretarial / governance experience

Required Skills

  • A senior, credible presence within a company secretariat function, with the gravitas to engage confidently with senior stakeholders, Boards and Committees
  • Strong working knowledge of relevant company law and corporate governance codes
  • A genuinely solution-oriented mindset - someone who is as comfortable getting into the detail as they are advising at a senior level
  • Excellent communication and stakeholder management skills

What is on offer?

  • Competitive six figure base salary
  • Discretionary Bonus
  • Hybrid Working
  • Other exciting benefits
