We have a fantastic opportunity for a highly organized and detail-oriented Paralegal to support the Chief Fund Structuring Officer in all legal, fund governance, corporate, and regulatory matters across the firm's private debt platform.
The successful candidate will play a key role in supporting fund launches, fund maintenance, transaction execution, regulatory compliance, and investor-related legal documentation. This position offers significant exposure to fund structuring, alternative investments, and cross-border private debt transactions.
Primary responsibilities will include:
Fund Structuring & Legal Documentation
- Assist in the establishment, restructuring, and winding up investment funds and related entities.
- Coordinate with external legal counsel, fund administrators, depositaries, auditors, and regulatory authorities.
- Maintain fund constitutional documents, partnership agreements, offering memoranda, and side letters.
- Assist in reviewing, managing, and organizing transaction documentation related to private debt investments.
- Coordinate the execution of legal agreements, including NDAs, Engagement letters, Loan agreements, Fund subscription agreement, and other legal documentation.
- Manage legal document execution processes and maintain electronic document repositories.
- Support closing processes and legal conditions precedent tracking.
- Maintain investor side letter trackers and governance obligations.
Regulatory & Compliance Support
- Assist with maintenance of compliance policies and procedures.
- Support regulatory filings and reporting obligations.
- Maintain registers and records required under applicable regulations.
- Coordinate regulatory requests and information gathering exercises.
Legal Operations
- Maintain legal databases, templates, and document management systems.
- Track legal costs and external counsel invoices.
- Improve legal and governance processes through standardization and automation initiatives.
- Support special projects led by the Chief Fund Structuring Officer.
Qualifications
- Bachelor's degree in Law, Legal Studies, Business Law, Corporate Law, or equivalent.
- 2-5 years of relevant experience within Asset management, Private debt/private credit, Fund administration and having technical knowledge is a plus
- Understanding of:
- Alternative Investment Funds
- Fund structures (RAIF, SICAV, SCSp, LP structures)
- Regulatory filings and compliance processes
- Private debt transaction documentation
