Senior Company Secretary / Governance Manager
Remote (UK) | Flexible Working | London Board Meetings (1–2 per month)
We’re looking for an experienced governance professional to join our growing Governance team.
This is an opportunity to work with a diverse portfolio of clients, including listed companies, regulated businesses, private companies and not-for-profit organisations. Rather than being confined to a single area, you’ll have the opportunity to broaden your experience across a wide range of governance and corporate advisory work.
The role is fully remote with a flexible approach to working, although occasional attendance at client board meetings (typically in London) will be required. Therefore being within a commutable distance to London is important.
The Role
As part of our Governance team, you’ll play a key role in supporting clients with company secretarial, governance and corporate compliance matters.
Your responsibilities may include:
- Providing governance and company secretarial advice to a varied client portfolio.
- Attending board and committee meetings, preparing agendas and producing high-quality board minutes.
- Advising boards on governance best practice and statutory compliance.
- Building and maintaining long-term client relationships.
- Drafting corporate governance policies, terms of reference and governance documentation.
- Supporting corporate transactions, restructures, share reorganisations and governance reviews.
- Managing multiple client relationships while delivering an exceptional level of service.
- Contributing to the continued development of the governance function and mentoring junior team members where appropriate.
About You
We’re interested in speaking with candidates who have experience in company secretarial or governance roles within either professional services or an in-house environment.
You’ll ideally have:
- CGI Qualified is essential
- Strong experience attending board meetings and producing accurate board minutes.
- Solid knowledge of the Companies Act 2006.
- Excellent understanding of UK corporate governance principles and best practice.
- Experience supporting listed companies and/or regulated organisations (desirable).
- Excellent communication and stakeholder management skills.
- A client-focused approach with the ability to build trusted relationships.
- Strong organisational skills and the ability to manage multiple priorities.
- A proactive, adaptable and collaborative working style.
